End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“End User,” “you,” or “your”) and OpenSesame AI Inc., a corporation incorporated under the laws of Ontario, Canada (“General Magic,” “we,” “our,” or “us”). This Agreement governs your use of General Magic, our AI messaging agent platform and related services (collectively, the “Software” or “Services”).

General Magic enables organizations to deploy AI agents that interact with customers through messaging channels such as SMS, Apple iMessage, WhatsApp, and other communication platforms, while securely connecting to enterprise systems such as CRM platforms, insurance systems, claims systems, and other operational tools.

By accessing, installing, integrating, embedding, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to this Agreement, you may not access or use the Software.

  1. License Grant

Subject to your compliance with this Agreement and any applicable commercial agreement with OpenSesame AI Inc., General Magic grants you a limited, non-exclusive, non-transferable, and sub licensable license to access and use the Software solely for legitimate business purposes and in accordance with this Agreement and any applicable documentation.

You may use the Software in connection with your organization’s internal operations and customer communications, including embedding or integrating the Software into messaging workflows, applications, or enterprise systems, provided such use complies with your subscription or service agreement.

This license does not grant ownership of the Software and may be revoked if the terms of this Agreement are violated.

  1. Permitted Use

The Software is intended to be used by organizations to facilitate messaging-based workflows and customer interactions.

Permitted uses may include:

  • Customer communication through messaging channels

  • Automated service workflows and support interactions

  • Integration with enterprise systems such as CRM platforms, insurance systems, or operational software

  • Internal operational workflows or customer engagement processes

You are responsible for ensuring that your use of the Software complies with all applicable laws, telecommunications regulations, and data protection obligations relevant to your jurisdiction and industry.

  1. Restrictions

You agree not to, and will not permit any third party to:

  • Copy, modify, reproduce, distribute, or create derivative works of the Software except as expressly permitted

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software except where such restrictions are prohibited by applicable law

  • Rent, lease, sublicense, sell, distribute, or transfer the Software to any third party without prior written authorization

  • Use the Software to transmit or process unlawful, harmful, abusive, fraudulent, or prohibited content

  • Use the Software in violation of privacy laws, telecommunications regulations, or other applicable legal obligations

  • Attempt to circumvent security mechanisms or authentication systems associated with the Software

Use the Software in a manner that could impair, damage, or disrupt the integrity or performance of the platform

  1. Ownership and Intellectual Property

  • The Software, including all underlying technology, models, systems, algorithms, interfaces, and documentation, is owned by OpenSesame AI Inc. and its licensors.

  • All rights, title, and interest in and to the Software remain the exclusive property of OpenSesame AI Inc. and its licensors. This Agreement grants only a limited license to use the Software and does not transfer ownership or intellectual property rights.

  • Any feedback, suggestions, or improvement requests provided by users may be used by OpenSesame AI Inc. to improve the Software without restriction or obligation.

  1. Data Processing and Customer Data

General Magic is designed primarily as a B2B2C platform, meaning organizations deploy the Software to interact with their customers through messaging channels.

In most cases:

  • The enterprise organization deploying the Software is the data controller

  • OpenSesame AI Inc. acts as a data processor or service provider

  • General Magic processes data solely to perform the services requested by the enterprise customer.

The platform may process limited customer interaction data such as:

  • messaging conversations

  • service requests

  • authentication responses

  • workflow inputs necessary to complete actions

General Magic is designed to minimize the storage of end-user data and typically does not retain long-term customer records, as such information is generally stored within the enterprise customer’s systems.

Where data is temporarily processed within the platform, it is handled solely for the purpose of executing workflows, maintaining service functionality, and supporting operational security.

  1. Privacy and Data Protection

All personal information processed through the Software is governed by our Privacy Policy, which is incorporated into this Agreement by reference.

OpenSesame AI Inc. implements safeguards designed to protect personal information and sensitive data, including:

  • encryption of data in transit using TLS 1.2 or higher

  • encryption of sensitive data at rest using AES-256 encryption standards

  • role-based access control and strict internal permissions

  • infrastructure monitoring and incident response procedures

OpenSesame AI Inc. maintains SOC 2 Type II compliant security controls, which independently verify that our systems and processes meet industry standards for security, availability, and confidentiality.

Enterprise customers remain responsible for ensuring that their use of the Software complies with their own regulatory and data governance obligations.

  1. Messaging Channels and Communications

  • The Software may operate across messaging channels including:

  • SMS messaging

  • Apple iMessage

  • WhatsApp

  • Other supported messaging services

Communications sent through these channels may involve the transmission of customer information necessary to complete requested actions.

Where supported, communications utilize the encryption and security capabilities of the messaging platform. However, telecommunications infrastructure and third-party messaging platforms may operate under their own security models and regulatory frameworks.

Organizations deploying the Software are responsible for ensuring their messaging communications comply with telecommunications laws, consent requirements, and industry regulations.

  1. Security and Authentication

General Magic implements security measures designed to protect system integrity and customer data.

These safeguards may include:

  • secure API authentication

  • token-based access controls

  • identity verification procedures

  • one-time passcodes or authentication workflows

  • monitoring and anomaly detection systems

End Users and organizations are responsible for maintaining the confidentiality of login credentials, API keys, and integration credentials used with the Software.

  1. Service Availability and Updates

OpenSesame AI Inc. will use commercially reasonable efforts to maintain the availability and performance of the Software.

From time to time, we may:

  • deploy updates, patches, or enhancements

  • improve functionality or security

  • modify infrastructure or integrations

  • All updates and modifications to the Software will remain subject to this Agreement.

We may temporarily suspend access to the Services for maintenance, upgrades, or security reasons.

  1. Fees and Payment

Access to the Software may require payment of subscription fees, usage-based fees, or other charges as defined in a separate order form, service agreement, or subscription contract.

Failure to pay fees when due may result in suspension or termination of access to the Software.

  1. Term and Termination

This Agreement begins when you first access or use the Software and continues until terminated.

OpenSesame AI Inc. may suspend or terminate access to the Software if:

  • you materially breach this Agreement

  • your use of the Software poses security or legal risks

  • required fees remain unpaid

Upon termination of this Agreement, you must cease all use of the Software and remove any integrations or access credentials associated with it.

  1. Disclaimers

The Software is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, OpenSesame AI Inc. disclaims all warranties, express or implied, including:

  • merchantability

  • fitness for a particular purpose

  • non-infringement

  • uninterrupted or error-free operation

We do not guarantee that the Software will operate without interruptions, errors, or security incidents.

  1. Limitation of Liability

To the maximum extent permitted by law:

OpenSesame AI Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities arising from use of the Software.

In no event will the total liability of OpenSesame AI Inc. for all claims arising under this Agreement exceed the amount paid by you for the Software in the twelve months preceding the claim.

  1. Indemnification

You agree to indemnify, defend, and hold harmless OpenSesame AI Inc., its affiliates, officers, employees, and agents from any claims, damages, losses, or liabilities arising out of:

  • your use of the Software

  • your violation of this Agreement

  • your violation of applicable law

  • your infringement of any third-party rights

  1. Governing Law and Jurisdiction

This Agreement is governed by the laws of Ontario, Canada and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising under this Agreement will be resolved exclusively in the courts located in Toronto, Ontario, Canada, and the parties consent to the jurisdiction of those courts.

  1. Miscellaneous

Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the use of the Software and supersedes all prior agreements or understandings.

Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver
Failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision.

Assignment
You may not assign or transfer this Agreement without prior written consent from OpenSesame AI Inc.
